Description

Management responsibilities:

  • Provision of all legal support to the European businesses and to the Europe Executive team

  • External legal advisor relationships & spend in Europe

  • Legal Internship programme in Europe

  • Requirement of additional support to/from Group Legal team

  • Delivery of global compliance & training in Europe in line with Group Legal's training programme

General commercial -

  • Undertaking contract reviews and drafting new contracts (both from a sales and a procurement perspective) and advising the Group on all contractual issues - including competition law matters, IP and general liability issues

  • Advising on toll/contract manufacturing arrangements, logistics and warehousing arrangements

  • Advising on standard terms and conditions - including in relation to issues around battle of the forms, exclusion of liability and reasonableness

  • Advising on product liability issues and other contract disputes

  • Advising on agency and distribution matters

  • Providing general, ad hoc legal advice to the Group on day to day trading arrangements

  • Coordinating the Group's product complaints and reporting monthly internally and to Group's insurance broker

  • Supporting the Group on any contentious legal matters

Intellectual property -

  • Liaising with trade mark and patent attorneys concerning ad hoc registrations, renewals and applications

    • Advising on all types of IP issues, particularly in relation to trade marks and patents - both in terms of protecting and managing the Group's own global IP portfolio but also defending any infringement claims

  • Advising on confidentiality/IP issues when engaging with third parties in various contexts (including R&D) and, holistically, on the journey of collaboration (including drafting and negotiating non-disclosure agreements, collaboration agreements and IP licenses)

    • Employment -

    • Advising the global and local HR functions (and senior management) on a range of employment issues, including contracts of employment for new appointments, international secondment/assignment arrangements, termination issues, and post-termination restrictions
    • International/travel -

    • Given global footprint of the Group's business, there is a significant international dimension to most matters dealt with by the Group legal team

  • Regular travel to Germany and wider Europe region

    • Corporate/company secretarial -

    • Supporting the Company Secretary function for European subsidiaries by providing legal and compliance input and coordinating overseas company secretarial support for other European subsidiaries

    • Supporting the Group Finance function by providing legal and compliance input on internal reorganisation, restructuring and refinancing projects in Europe

    • Supporting the Group's Operations function by providing legal support on the plant expansion projects including constructions and property acquistion matters in Europe

  • Supporting the Group's Business Development function by providing legal input on any growth initiatives and disposals, including undertaking preliminary legal analysis/due diligence

Profile

  • Technical ability - excellent skills in core areas - including commercial contracts & corporate, able to work independently with minimal supervision

  • Knowing the business - Excellent knowledge of the business, strong business acumen, close working relationship with senior management, good networks across the business, excellent communication & presentation skills

  • Leadership potential - Well respected adviser and team player, enthusiastic & inspiring, able to supervise and mentor others, takes the initiative in driving things forward to achieve business objectives, ability to provide solution-driven strategy and advice to the business, takes ownership in resolving legal issues

  • Workload management - Strong organisational skills, able to manage and prioritise heavy diverse workloads, able to work under pressure to tight deadlines
