Duties:

-Support the Legal Director in ensuring all Group companies comply with all statutory requirements including but not limited to:
oMaintaining statutory books, including registers of members, directors and secretaries using the relevant company secretarial software.
oAdministering share allotment and, if necessary, share schemes
oLodging required forms and annual returns with Companies House.
oDealing with third parties (including external legal counsel and regulators) where necessary in order to ensure compliance.
oAssisting the Legal Director in managing the Group insurance database and managing annual insurance renewals.


-Support the Legal Director in devising, administering and monitoring bespoke in-house corporate governance policies and training, including but not limited to:
oDevising and delivering bespoke staff training on compliance matters such as Bribery Act, Modern Slavery and Competition law compliance.
oBeing a port of call for receiving and delivering ad hoc queries on corporate governance policies and proactively acting to help fill any knowledge gaps in the business around such areas.
oOverseeing policies, making sure they are kept up to date.
oActing as Data Protection Officer in relation to the Group.
oTaking an active part in all Group audit activities.

-Support the operation of the various Group boards of directors, including but not limited to:
oCollation and circulation of materials (including minutes) for board meetings and meetings of the Executive Committee.
oAttendance at board meetings where necessary, including minute taking.
oDealing with ad hoc questions and queries from directors and other key stakeholders regarding board packs and board meetings.
oAssisting where required in advising on potential conflicts of interests and other board matters.
oMaintaining the original book of minutes for the various businesses.

-If appropriately legally qualified, to support the Legal Director in delivering comprehensive legal advice to the Group, including but not limited to:
oDrafting and advising on a range of commercial, property and construction contracts
oAdvising on areas of company, corporate and finance law.
oInstructing and overseeing external advisors for specialist legal advice on certain areas and transactions on as as needed basis.



Qualifications and Required Skills:


-Qualified solicitor or barrister or appropriate ICSA qualification
-Significant company secretarial experience in a fast-paced company. Ideally (but not essentially) within the real estate, construction or infrastructure industries.
-Significant experience in preparing and filing all relevant companies house forms and appointments and dealing with typical company secretarial matters
-Experience of dealing with company formation issues and questions on articles of association and other company law issues
-Proficient IT skills and knowledge of electronic company secretarial filings and software.
-Good working knowledge of the Law relating to Companies Act 2006, GDPR, insurance, anti-bribery laws, modern slavery and other compliance matters. Real estate and/or construction law knowledge would be beneficial
-Significant experience with compliance matters and exposure to liasing with external financiers, legal counsel and (where necessary) regulatory bodies.
-Highly developed people skills and able to deal with a variety of different people at all levels of the business.
-Diplomacy, discretion and high level of integrity required
-Efficient self-starter and resilient team player.
