The company provides bespoke solutions to large sophisticated clients with funds providing a range of investment and risk management solutions targeting the institutional marketplace.
Role Profile:
The business is regulated by the Central Bank and other regulators and this role requires a strong understanding of the relevant fund structures, governance arrangements and Investment / Financial Services regulations and policies. You will work as part of the legal team and the responsibilities will include:
- Co-ordinate, draft, review and maintain fund supplements and material contracts for UCITS and AIF products;
- Co-ordinate, draft and negotiate fund investment management agreements, amendments to such, fee agreements and a variety of other associated legal agreements;
- Manage market opening process for and appointed managers to trade;
- Work closely with external legal counsel and third party legal counsel in relation to the above, where appropriate;
- Provide support on governance arrangements surrounding the fund structures and UCITS management company & AIFM, to include participation at board meetings and committees;
- Provide practical, business-oriented advice on new product and service offerings, regulation impacting existing products, applicable governance requirements, product/service passporting and on emerging issues;
- Suggest, support, promote and implement initiatives as part of the Legal team;
- Work closely with colleagues in the wider Legal Compliance and Public Affairs Function;
- Maintain up-to-date legal knowledge to ensure compliance with relevant policies and legislation and provide legal advice;
- Effectively prioritise work by understanding competing priorities and make appropriate judgments regarding relative importance;
- Manage time efficiently; use appropriate judgment in determining how much time to spend on a project or matter;
- Negotiate and manage costs of outside counsel effectively;
- Escalate key issues for decision or information using appropriate judgment as to when to do so;
- Take the initiative; identify areas for enhanced efficiency and issues that go beyond the specific project requested by the internal client;
- Manage expectations well; communicate regularly with internal business colleagues regarding projected timeframe for project completion;
- Is a team player; offers to help colleagues and share work;
- Take on and where necessary lead projects important to the department or the internal client and manage these effectively and to completion;
- Be able to clearly articulate and educate business colleagues on key legal and regulatory issues and developments, in particular working closely with internal investments colleagues on technical aspects of fund investments.
Candidate Requirements:
- Holds a current Solicitors Practicing Certificate for Ireland or be fully admitted to the Irish Bar or hold an appropriate foreign jurisdiction equivalent;
- Relevant funds and asset management experience in a law firm and / or in-house role;
- 5+ years PQE;
- Experience negotiating and drafting funds related documentation and material contracts;
- Experience participating in board meetings and governance committees;
- ISDA documentation & derivatives law an advantage;
- Knowledge of fund structures outside Ireland an advantage;
- From a regulatory perspective, AIFMD, UCITS and MiFID and EMIR exposure is required;
- Independent worker and self-starter;
- Excellent written and verbal skills;
- Legal document drafting skills;
- Strong commercial contracts experience;
- Confident in explaining and defending advice given with the ability to take risk-based decisions;
- Supports and embraces change;
- Team player and able to work effectively within a small team;
- Excellent attention to detail and organisation skills; and
- Highly driven and disciplined.
- Technical Knowledge of some or all of the following areas:
- Detailed technical knowledge of fund structures, parties to the fund and the differing fund types (UCITS / PIF/ QIAIF / QIAIF CCF / ICAV / Unit Trust);
- Detailed technical knowledge of investment instruments & securities, alternative assets / fund types and derivatives;
- A solid understanding of regulatory and legal structures in relation to the Irish funds and investment management industry;
- Understanding of legal and regulatory risks associated with the investments business and legal options required to manage these risks.
