Growing and dynamic global asset management company are seeking their first paralegal to support the General Counsel and Company Secretary and team in a range of commercial and corporate matters, but will also have the opportunity to make the role their own. This is an excellent opportunity for a LLB or LPC graduate who is seeking a position with a company and team who are very much focused in developing and mentoring this individual. You would be working with a high calibre team who are friendly, modest and down to earth as individuals.
The successful candidate will ideally have strong academics and experience in commercial contracts and/or corporate matters gained either in-house or in private practice.
Duties will include, but not limited to, the following tasks:
- Drafting or reviewing documents and providing specific legal advice in relation to various agreements, including, but not limited to: Non-disclosure / confidentiality agreements; Engagement letters, hold harmless letters, release letters; Service level agreements; and Supplier contracts/contracts for services.
- Drafting intra-group corporate documentation including resolutions and board minutes to effect group co-investments, restructurings, share issues and board changes.
- Staying abreast of and advising the business on changes in relevant law that impact the Group.
- Engaging external legal help where appropriate to meet the above responsibilities.
- Corporate Governance and Company Secretary.
- Assisting in the incorporation and certain day-to-day management of Group entities.
- Managing and updating Group entity database and liaising with the business including tax and finance regarding such entities.
- Maintaining packs of information on Group entities and providing the same to the business.
- Liaising directly or indirectly with industry and regulatory bodies.
- Drafting and organising the dissemination of announcements to the market.
- Managing the Group’s signings, authorised signatories and standing powers of attorney.
