Description
Drafting and negotiating commercial contracts, such as:
- Intellectual property licenses (both as licensee and licensor)
- Distribution and agency agreements (both physical and digital content)
- Terms for the supply of goods
- Licence agreements
- Endorsement and sponsorship agreements
- Co-promotions and bundling
- Advertising agreements
- Services agreements
- Software development agreements
- Publishing agreements, including first party console publisher licenses
- NDAs and publishing embargoes
- Merchandise agreements
- Website terms and conditions
- Liaising with other countries and external counsel on implementation of GDPR compliance measures.
- Working with and managing external legal counsel where appropriate, including instructing on disputes or advice.
- Managing and maintaining legal knowledge through attendance at seminars/ receiving law firm updates and communicating any changes in law which may affect the business within Legal and to the wider business where appropriate.
Compliance and risk management, in particular:
- Obtaining management approval for all contracts
- Maintaining electronic contract database
- Document retention
- Data protection
Profile
- Relevant post-qualification experience (2 years + preferred but will consider more junior applicants with the right experience) with a mix of private practice and in-house, preferably in the interactive entertainment industry.
- Experience of commercial law and of drafting and negotiating a wide range of commercial contracts
- Excellent drafting and negotiating skills
- Good working knowledge of competition law in the context of commercial arrangements and practices
- Experience in IP heavy commercial agreements, including licences
- A good working knowledge of data protection laws, consumer law, advertising law and/or intellectual property law
- Excellent verbal and written communication skills
- Ability to work on general commercial matters with appropriate supervision
- Pragmatic and solution focused
- Confident to deal with people at all levels in the business
- Ability to deal with strong personalities in the business
- Friendly and enthusiastic
