Leading Global Banking Group: VP Legal Counsel Structured Credit
Role Summary To provide legal support and legal and reputational risk management for the Credit Trading and Credit Structuring businesses in EME and to support the Markets Legal team more generally in connection with execution of the strategic priorities of the function and the firm.
Key Accountabilities
- Day-to-day coverage of the Credit Trading and Credit Structuring businesses of the Markets division l in Europe, including fixed income trading, credit derivatives, loan, distressed and claims trading, structured credit, financing and primary/direct lending;
- Particular focus on (i) supporting the structured credit business on legal structuring of complex and bespoke transactions including credit-linked notes, repackaging transactions, structured repo, total return swaps and financing; and (ii) supporting the loan trading desk on all aspects of the loan trading lifecycle and advising on relevant documentation including trade recaps and confirmations, sub-participations, NDAs, facility and restructuring agreement reviews and loan transfer certificates;
- Event-driven advice: advising on event-driven situations affecting lender/creditor/counterparty rights in the context of underlying borrower defaults, insolvency, restructurings, enforcement of security, claims filings, debt-for-equity swaps, credit events and close-outs;
- Governance: advising the relevant businesses on legal issues relating to how the business is run and ensuring that an appropriate governance framework is in place at all times, including participating in internal business approval processes and risk and governance committees such as New Product Approval, DDAC, Transaction Review Committee meetings;
- Regulatory change: advising on all aspects of firm and functional regulatory and strategic change projects applicable to the Credit businesses. In conjunction with other infrastructure areas, providing input to, and managing the implementation of, various ongoing regulatory initiatives insofar as they impact these businesses;
