Global Asset Management firm seeking a legal counsel for a 12 month FTC
London based (currently WFH)
Competitive Base salary
Role:
Legal matters and governance matters relating to the Group’s European offices including London, Luxembourg, Cayman Islands The role holder will assist Head of Legal and the team in delivering a legal service that enables the businesses to deliver on their objectives, whilst effectively managing legal risk and ensuring good outcomes for the group clients.
Core Responsibilities:
- To review and negotiate legal documentation, maintaining a record of all negotiations
- Working closely with key internal stakeholders
- Documentation organisation
Key Responsibilities:
- Draft, negotiate and review legal agreements, contracts, prospectuses and corporate documents;
- Take responsibility for administering and reviewing legal agreements via the firm’s e-form system for ad hoc review requests and co-ordinate negotiation and execution with the assistance of other members of the legal team where necessary;
- Build, organise and maintain databases and files (both electronic and hard-copy);
- Co-ordinate the execution and exchange of agreements and trust deeds and prepare covering emails containing instructions to the relevant signatories;
- Assist with the preparation of company secretarial documentation for the UK, Luxembourg and Cayman fund entities (e.g. board memoranda; board resolutions);
- Draft circular resolutions and covering emails for board members and senior management, and co-ordinate the receipt of circular resolution signatures and collection of hard-copy originals;
- Organise and monitor the schedule of various regulatory filings;
- Assist with the renewal of LEI’s for Lux and Cayman funds and investment manager entities;
- Monitor the status of on-boarding funds with derivative counterparties and where necessary, provide information to third parties in order to assist with such on-boarding;
- Assist with the negotiation and execution of MiFID II research agreements with broker counterparties and keep accurate records and summaries of contracts;
- Support with the negotiation of ISDA & CSA documentation, as well as subsequent amendment agreements thereto;
- Respond to data protection-related queries and requests, in conjunction with other members of the Data Protection Group
- Help co-ordinate derivative meetings, providing support to Dealing and Operations teams, as well as status updates on the negotiation of OTC derivatives documentation with broker counterparties.
Key skills, attributes and characteristics:
- Must be a team player and have confidence in dealing with and speaking to front office stakeholders.
- To be able to manage one’s workload and work independently whilst working away from the office.
- To engage with other members of the Legal team on a regular basis and attend virtual team meetings and meetings held by other stakeholders whilst working remotely.
- The ability to work independently but also follow instructions given by colleagues.
Experience and qualifications:
- Particular strengths in at least one of the following areas is crucial and more than one a distinct advantage:
- Commercial agreements
- Laws and regulations relevant to asset management business and investment management agreements, assisting with AML, KYC, due diligence, etc
- Trading documentation (ISDAs and CSAs, MSFTAs, Clearing, Future agreements, broker terms of business) etc.
- Data Protection
Seeking:
- A qualified solicitor 3- 6 years PQE
- Must have demonstrable and sound drafting skills
- Asset Management Industry experience an advantage
