Hays Legal are delighted to be exclusively representing a leading Blue Chip Company in their search for a capable Legal Counsel (Corporate/Commercial).
Your new role
In your new role you will be responsible for advising the business on corporate, company secretarial, risk and compliance matters globally.
You will also be responsible for reviewing and negotiating on various high value commercial contracts across multiple jurisdictions.
You will advise the Company and its global affiliates in the EU, US and Asia Pacific on the following (supported by Corporate Counsel and the General Counsel):
Legal: 1. General corporate/M&A work, including company and/or product acquisitions and divestments, intercompany reorganisations, JVs & commercial collaborations.
2. Company secretarial matters, including the management of the company's global corporate structure, corporate governance and compliance matters, the incorporation of new legal entities, drafting minutes and resolutions, completing company filings and maintaining company books.
3. Insurance, claims handling and risk management matters, including reviewing insurance cover and handling annual insurance renewals, managing customer and supplier disputes and advising the business on risk management matters.
4. The review and negotiation of a wide variety of commercial contracts across multiple jurisdictions, including Master Service Agreements (for the supply of goods and/or services), Master Purchase Agreements (for the procurement of goods and/or services), Distribution Agreements and Confidentiality Agreements.
5. Legal, risk and compliance matters globally, including Anti-Bribery & Corruption, Corporate Social Responsibility (CSR), Competition & Anti-Trust, Trade Compliance and Licensing.
6. Contentious and non-contentious employment matters, including contracts of employment, employee incentives, policies and procedures and employee disputes
What you'll need to succeed
- You will be a qualified as a Solicitor or Barrister in Northern Ireland, England and Wales or the Republic of Ireland
- Degree qualified (2:1 or above)
From 2 to 4 years PQE.
General corporate experience gained in a commercial law firm or in-house environment.
Experience of drafting, reviewing and negotiating commercial contracts.
Excellent technical skills (including drafting) and analytical ability.
Excellent communication skills (both written and verbal).
Sound business judgement and commercial 'can-do' attitude.
Ability to organise, plan and prioritise tasks and manage a high volume and varied workload.
Ability to analyse complex legal issues, develop creative solutions and provide sound legal advice to the business.
Strong interpersonal skills and a commitment to collaborative working.
Proficiency in the use of Microsoft Office applications.
