The client:

We have a really exciting opportunity for an Assistant Company Secretary to support a well-established investments business in the Company Secretariat function.

The business is going through a very important period of growth, which means it’s a great time to join a team lead by a highly respected Group Company Secretary, and help to shape the continued fortunes of the business.

The role:

As the Assistant Company Secretary, you will help manage several funds alongside a Senior Assistant Company Secretary and assist with the administration of the company share schemes and annual Liquidity Event. This type of opportunity would suit someone looking to take on more responsibilities in relation a company’s lifecycle and, gain valuable experience from occasional board level interactions.

Some of your responsibilities will also include:

  • Drafting and reviewing the relevant documentations for group distributions, allotments and loan drawdowns.
  • Reviewing Annual Report and accounts and work such as reviewing or completing Companies House filings.
  • Drafting board meeting agendas and minute taking when required.
  • Advising relevant stakeholders on corporate governance matters.
  • Building strong relationships with key stakeholders, such as investment management teams and board members. Ideally, you will have experience of share administration and listed company regulations too.
  • Shareholder responsibilities such as regular shareholder e-mails and manging the shareholder register.

Qualifications:

You will ideally have:

  • Experience in a Company Secretariat team preferably in professional services and/or in a fund or investment setting.
  • Be a qualified solicitor keen to move into the world of Company Secretariat or be at least ACIS qualified.
  • A track record of working on corporate transactions, such as restructures and mergers & acquisitions.
