Leading Alternatives Funds Manager – Legal Counsel - Fund Structuring
The Role:
- Associate Director level - to join a five-person team responsible for fund legal matters across a wide range of strategies on a global basis.
- Structuring, negotiation and closing of investors into several pooled funds, co-investment funds, segregated mandates, and similar vehicles, additional fund work
- Leverage and bridge financing and carried interest arrangements
Primary Responsibilities:
• Advising on fund formations in conjunction with the internal tax team and external counsel, taking the lead on certain funds
• Managing external counsel and the delivery of LPAs, subscription agreements, side letters, management agreements and other contractual arrangements.
• Negotiating with potential investors.
• Contributing to new product approval processes and drafting of PPMs.
• Acting as an internal point of contact for Marketing & Client Relations staff and portfolio managers.
• Work closely with the Fund Administration team & acting as the Legal owner for the newly created funds
Candidate Profile
• UK or other jurisdiction qualified funds formation lawyer.
• 2-5 years of post-qualification experience either in Private Practice or in-house
• Private Equity / Credit / Alternatives Experience preferred
