Our client a private equity investor headquartered in London require a Company Secretary to assist them on a maternity cover from May 22 for an 8-month period, after which there may be the opportunity to join the organisation on a perm basis. You will be required to work from the office (Chelsea) on a hybrid basis 2/3 days per week.
Main duties and responsibilities:
To provide guidance to the Group to ensure its legal entities operate in accordance with applicable corporate
governance legislation and regulations
Support the Operations, Legal and Compliance teams and the different Group's Committees and Boards of
Directors to ensure the Group entities are governed efficiently and effectively, materials are collected and submitted
for consideration, robust corporate records are maintained, and corporate actions are followed up and actioned, in
all cases, in an organised, efficient, and timely fashion.
Facilitate effective communication between the Group's boards, committees, senior management, the investor
relations team and independent advisers and assist with strategic corporate structuring
Corporate Actions
Take responsibility for the administration of the Group companies, maintaining statutory books, registers of
members, directors, and shareholders including all their past and present shareholdings, internal structure charts,
organising board meetings and annual general meetings (AGMs), preparing agendas and taking minutes
Ensuring that materials to be tabled to all board and committee meetings are chased-up, collected, organised and
tabled in good time ahead of the meeting
Ensuring that any corporate actions or actions arising from board and committee meetings are chased-up and
resolved in a timely fashion
Review and develop the systems for organising and maintaining the corporate records and contracts of the
Group and brining the archiving, storage and access of these into a future-proof digital solution
Coordinate local registry filings, such as annual tax returns and audit reports and notification of significant changes
to Group companies share capital, administration or registered addresses
Maintaining, and where necessary developing, various Committees terms of reference and preparing agendas and
taking minutes for those committees
Draft new company formation applications and documentation, assist with legal entity closure processes and work
with other members of the Legal & Compliance team with regulatory authorisations
Work with the Legal & Compliance and Investor Relations teams to draft RNS announcements and other relevant
disclosures if required
Provide training to employees on a group and individual basis to ensure a robust understanding of corporate
responsibilities and obligations, where appropriate
Regulatory Oversight and Management
Work together with the wider Compliance team and any external counterparty as necessary to monitor and
effectively prepare the group for changes in relevant corporate legislation and the regulatory environment likely to
affect the Group, and coordinate appropriate actions (primarily Luxembourg, Germany, Bermuda, Italy and
UK legislation and any other relevant jurisdictions over time)
Assist the Compliance Manager to ensure appropriate ongoing monitoring of regulatory compliance requirements
Liaise with external regulators, lawyers and auditors as necessary
Key competencies and experience required:
Successful candidates will have 5+ company secretarial experience working in multi-jurisdictional
organisations with complex legal entity structures.
Excellent English written and verbal communication skills required, French/German/Italian/Spanish desirable
Strong interpersonal skills and the ability to work well with people at all levels
Attention to detail and a well-organised approach to work
The ability to prioritise work and to work well under pressure
Integrity and discretion when handling confidential information
This role will be a fixed term contract paid on a pro rata salary basis circa 65-75K
