Legal Counsel

Our client is one of the world's largest hedge fund and private equity administrator. The business model combines end-to-end expertise across financial services operations with software and solutions to service even the most demanding customers in the financial services and healthcare industries.

Role Purpose

Commercial Contracts

• Review, draft and negotiate legal agreements with clients, suppliers and counterparties

Governance & Legal Risk Management

• Assist with the maintenance and enforcement of Group Policies and procedures, in particular those governing the signature of contracts
• Participate in the risk management activity of the business including if required by attendance at risk committees.

Dispute Resolution

• Advise on disputes and claims between the Company and third parties

Company Secretarial and HR Support

• Assist, if required, with company secretarial duties and tasks
• Assist, if required, with mergers, acquisitions, restructuring and other corporate activity
• Assist, if required, to provide advice and support to the HR team in connection with staff disputes, claims, grievances and other legal issues arising.

Departmental

• Participation in the administration of the Legal Team, including adhering to reporting requirements and ensuring the proper filing and storage of legal documentation
• Participation in group training learning and development
• Maintenance and development of legal templates and collateral.
• Assistance with the administration of departmental risk assessments and procedures.
• Maintenance of a clear understanding of the corporate procedures and group structure
• Assisting the business to take the necessary steps to remain compliant at all times with applicable regulation
• Management of, and liaison with, external counsel assisting on particular matters
• Performing ad-hoc legal duties across all business units as and when required.
• Carry out any other duties which are within the employee's skills and abilities whenever reasonably instructed

Experienced Required

• Has worked with sales teams before not just procurement side
• Minimum 4+ years PQE
• Expertise in software licensing and/ or BPO outsourcing/
• Good working knowledge of data protection law
• Experience of working in the context of funds, collective investment schemes, insurance or pension products, investment & wealth management platforms
• Experience of drafting and negotiating IT contracts
• Knowledge and understanding of revenue recognition
