The role provides company secretarial support in the Secretariat team which has primary responsibility within the company for corporate governance, share scheme compliance and UK statutory compliance.

Description

  • Maintaining the ICSA Blueprint database, Companies House filings and the preparation of documents to ensure continued compliance with the Companies Act 2006 and other relevant legislation
  • Drafting, circulating and filing of minutes for approval and signature in respect of subsidiary companies (e., appointment/resignation of directors)
  • Assisting with the preparation and release of Stock Exchange Announcements
  • Providing support in relation to the preparation of the Annual Report
  • Assisting with the arrangements for the Annual General Meeting
  • Being a key member and providing support for the subsidiary statutory accounts process
  • Overseeing and maintaining the filing and archiving systems.
  • Preparing corporate information in support of project tenders.
  • Document provision and execution, including the management of the Parent Company Guarantee register
  • Maintaining the Secretariat's intranet pages
  • Maintaining the relevant company internet pages
  • Maintaining the Group structure charts and Company name board.
  • Recording all communications received from shareholders, liaising with the Group's Registrars and drafting responses as appropriate
  • Monitoring the Secretariat mailbox and taking appropriate action
  • Participating in any other ad hoc projects and undertake any other duties assigned by the Head of Secretariat

Profile

  • Some previous company secretarial experience gained within a UK listed company
  • Graduate (or equivalent level of education)
  • First-class, confident PC skills (MS Office)
  • Good command of English, both verbal and written
  • Candidates undertaking, or intending to undertake, Chartered Secretary studies or legal training would be viewed favourably and future development options into other roles may well be possible for such candidates
