About the Role:

Kroll currently has an outstanding opportunity for a commercially oriented Legal Counsel with a focus on supporting Kroll’s global Cyber Risk channels business. The successful candidate will primarily create templates, and negotiate, prepare, and finalize commercial agreements with channel partners, clients, and third-party vendors and counsel the channels team on legal, regulatory and compliance risk. Kroll seeks a motivated, independent collaborator with excellent interpersonal skills with an ability to build trusted relationships with business partners, provide commercially oriented regulatory guidance, and give practical legal advice in support of the channels business expansion. 

The right candidate will be able to showcase experience supporting all legal and regulatory aspects of a global channel sales function including providing risk and regulatory guidance while supporting and enabling a successful international channel sales strategy. The right candidate will have demonstrated experience supporting channel sales, a background in complex commercial contracting and risk and regulatory analysis (preferably cyber-security and/or managed security services) with very strong communication skills and an evidenced ability to establish, maintain and grow legal relationships with new and existing channel partners, all while guiding the Kroll business on applicable legal and regulatory requirements.

The Legal Counsel Channel Sales role will report directly to the Chief Counsel of Cyber Risk and will support the Global Head of Channel Sales, with a focus on establishing, supporting, and growing existing and new channel and alliance partnerships within Kroll Cyber Risk globally.

RESPONSIBILITIES:

  • Creating, reviewing, drafting, and negotiating various template and non-standard contracts and related documents in support of reseller and referral channel business needs and initiatives, including reseller agreements, third party flow down terms, strategic partner relationships, preferred provider agreements, business associate agreements, client service agreements (letters of engagement, master services agreements as well as client furnished documents), NDAs, vendor agreements, and SaaS, software, database, channel partnerships, marketing, and other agreements.
  • Identifying, analysing, and reporting out on regulatory risk in relevant jurisdictions where Kroll channel partners are established and/or operating.
  • Counsel business colleagues on risks, both legal and otherwise, associated with channel engagements and relationships, building trust and a positive working relationship.
  • Administering policies and procedures in support of established contracts processes.
  • Maintaining contract information and records in accordance with applicable processes and procedures.
  • Creating and maintaining contract templates to support all facets of the Cyber Risk channels strategy.
  • Proactively working with team leaders to prioritize pending contract requests to efficiently advance contract workflow, flag and resolve contract issues, and maintain internal service levels and satisfaction.
  • Providing regular reporting directly to legal management regarding contract status, volume, and metrics.
  • Identifying risk issues related to channels agreements, and providing practical, responsive advice to facilitate timely resolution.
  • Working with the business product teams on products and marketing materials to address risk, compliance, and contract issues; and
  • Assisting with various regulatory compliance and contracts projects, including data privacy analysis. 

REQUIREMENTS:

  • J.D. or equivalent degree from accredited law school, admitted/qualified to practice of law in relevant jurisdiction.
  • 7+ years channels / transactional / technology contracts management experience.
  • Ability to work independently and take direction well.
  • Extensive commercial contracts drafting/negotiating skills and experience, including: 
    experience working with various forms of channel agreements, client contracts and procurement agreements.
  • Effectively addressing and resolving contractual and business risk issues, including indemnification, liability limitation, privacy, data protection and information security.
  • Ability to successfully handle multiple negotiations and manage contract review pipeline, effectively prioritizing issue escalation and resolution.
  • Excellent skills in drafting contracts, amendments, addenda, exhibits and customer communications to achieve timely, successful outcomes.
  • Proficient in database, word processing and spreadsheet applications.
  • Ability to balance intense commercial requirements with protection of the long-term corporate risk profile; and
  • Excellent organizational, problem-solving, analytical, interpersonal, presentation, written and verbal communication skills with the ability to articulate and defend company positions in an effective manner, prepare clear and efficient redlines, and bring agreements to closure.
