An opportunity exists for a Commercial Contracts Manager to join my client's Commercial team. The post holder will be responsible for the effective control of contractual terms across all territories protecting the business from unacceptable risk.

Description
Commercial Contracts Manager -
* Negotiation of customer's terms and conditions to manage the commercial risk and comply with the commercial policies of the group
* Performance guarantees are acceptable and have an effective termination date
* Warranties are accepted by Engineering and have an effective termination date
* All bank guarantees bonds are acceptable and have an effective termination date
* Letters of credit are acceptable and can be executed in the time available
* Provide Commercial and Legal guidance to other functions within the business
* Draft and review a range of commercial agreements to support new business development activities
* Ensure that the company is protected from any unnecessary commercial risks
* Provide support to the customer negotiations throughout the business as required
* Provide support to the project management team as part of the Contract Acceptance process to ensure that the negotiated contracts are acceptable and are in accordance with the position cleared during bid review
* To manage and enhance the contract review procedure liaising with sales, contracts, engineering, Purchasing and manufacturing departments
* Monitor the profitability of significant contracts from bid approval through to delivery.
* Ownership of the letter of credit process from acceptance of terms through to presentation of accurate and timely documentation
* Approval of Commercial and Legal Tasks and Customer Orders in Salesforce
* Management of all European Agents and Distributors and ensuring Legal compliance
* Commercial Management of all Bids including major projects
* Review of all Commercial elements of Price Models
* Ensuring compliance to the Company's commercial and legal manual
* Applying and managing Export Licence Applications
* Contractual and legal support to the Procurement team
* Support to the continuing development of Salesforce.
Profile
* Should have strong understanding of business contract law
* Effective communication skills applicable for operating in the international arena
* Strong motivational skills
* Clear understanding of the selling process for technically based capital goods
* Have good leadership attitude with well developed interpersonal skills
* Innovative and adaptable
* Ability to work under pressure and achieve tight deadlines
* Positive attitude and approach
* Awareness and knowledge of SAP and Salesforce
* Good working knowledge of Microsoft Office Programmes (Excel, Powerpoint, Word)
* Be able to work independently and have the ability to make commercial decisions on behalf of the company with impacts the Company's overall financial performance.
* Be able to work closely with all other functions including the board of directors
* Having an understanding and working knowledge of different cultures and operating environments across Europe.
Experience and Qualifications: The successful candidate will have:
* Qualification to Degree level, Legal Degree would be desirable
* Detailed and demonstrable understanding of contract law
* Significant experience in OE and Solutions projects of substantial value (circa 2m Euro)
* Proven experience advising on all aspects of commercial contract law, reviewing and negotiating T&C's for a range of agreements
* Experience of negotiating contract terms and conditions with customer's in an international environment
* Previously operated in the Engineering/Manufacturing industrial sector and experience within the mining sector is highly desirable
* Experience of coordinating and preparing major tender proposals and presenting this at board level
