Financial Regulation Solicitor - City of London - Private Practice


Leading international law firm is looking to add a Financial Regulation Solicitor to their specialist Financial Services team due to continued expansion.

The Team

The team provides excellent technical and commercial regulatory advice to firms and their senior managers in the wealth management, insurance and/or consumer credit markets - including their respective FinTechs. There will also be the opportunity to work in the funds & asset management, and retail banking and payments sub-sectors.


The Role

You will work closely with the firm's lawyers and regulatory consultants. This is a mixed non-contentious and contentious regulatory role (but not a litigation role), with a focus on advisory and projects work, particularly in UK consumer financial services. Typical instructions include:

Structuring and advising on transactions (and corporate restructuring), including regulatory notifications and approvals, and reg DD;

Advising on distribution arrangements involving remuneration and inducement considerations and reviewing/drafting relevant introducer, intermediary and customer agreements;

Advising on product terms and arrangements;

Supervisory correspondence with the FCA and advising firms on responding to VREQs, OIVOPs, contentious authorisations and other 'close' supervisory issues;

Dealing with FCA information requests, thematic reviews, Skilled Person's reviews and Enforcement cases;

Advising on systemic liability issues, past business reviews and assisting in dealing with the regulators in relation to redress schemes, FOS complaints or FSCS recoveries; and

Helping devise business models, particularly those in novel or riskier areas, FinTech or post-Brexit.

You will need a significant interest in and some knowledge of or experience in advising clients in retail financial services sub-sectors, including applying the FCA Handbook and EU regulation.

All of the following experience would be advantageous but some is essential:

Wealth management, applying the FCA Handbook (COBS) and MiFID II and advising wealth managers (including robo-advisers or ODIMs), IFAs, SIPP providers, investment & trading platforms and brokers;

Insurance, advising on non-life insurance regulatory issues arising from the design, selling and distribution of insurance policies to consumer and/or commercial policyholders, applying ICOBS and the PRA Rulebook, with some experience of Lloyd's of London; and

Consumer credit, advising on business models, new lending channels and facilities, corporate and regulatory structures and compliance with the Consumer Credit Act as well as FCA's CONC Sourcebook, along with advice on lending documentation and procedures.
