JOB TITLE: Entity Management, Senior Associate (Company Secretary)

THE ROLE: You will be working in a team of Entity Management professionals within the Legal, Contracts and Compliance Department. The team is responsible for the creation, management, maintenance and dissolution of legal entities around the world. As a Senior Associate, Entity Management you will work under the supervision of the Legal, Contracts and Compliance Attorney(s).
Primary responsibilities will include
• Draft and/or review and revise corporate governance documents for U.S. and non-U.S. legal entities, including, board and shareholder resolutions, annual general meetings, by-laws, certificates of incorporation or their equivalent Requires working effectively with corporate functional groups and third parties, including outside counsel located around the globe.
• Manage changes to directors, officers, addresses, etc. for the global subsidiaries and branches
• Assisting Entity Management Team leads and the teams in the Treasury, Tax and other functional groups with projects, including restructurings, recapitalisations, dividend declarations, treasury agreements/ documents and bank account updates.
• Arranging for document notarisation and authentications; obtaining company extracts and similar documents.
• Timely update and maintain subsidiary and affiliate database system (GEMS).
• Maintaining minute books, Director/Officer lists, shareholder registries and other corporate records.
• Analysing processes, recommending improvements, and developing and implementing policies and procedures.
• Assisting with MA&D and post-acquisition integration activities.
• Preparing delegations as requested by BUs and various functional groups
• Preparing certificates of incumbency and signature authority as requested by banks, customers and other outside third parties.
• Preparing and assisting with government filings for subsidiaries.
• Assisting with other projects as needed, including some administrative tasks such as filing and data updates/tracking and any other tasks as may be required within the Entity Management Team.
THE CANDIDATE: Candidates will need at least 8 years of relevant experience. The ability to handle a heavy workload as part of a geographically dispersed team that supports multiple internal customers including senior management. Prior experience in an international company or law firm overseeing multiple global legal entities while not a pre-requisite would be useful
