Our client is a leading international private bank with established operations across most of the main European jurisdictions. Their Asset Management group advises international investors, financial intermediaries and family office clients on a range of investment programmes such as investment funds, equities/bonds, fixed income and alternative investment schemes. 

To further strengthen the Legal department they are looking for a London or Luxembourg based Funds Lawyer ideally with some private equity experience. .

The role is broad and will include the following:

Assisting with all direct PE related funds (establishment of funds and ongoing maintenance and any deal related matters).
Segregated institutional mandates (non PE) - drafting and negotiating IMAs with institutional clients in respect of discretionary portfolio mandates across the various business (equities, fixed income, converts etc).
UCITS range - supporting Head of Legal in relation to advising on a range of Luxembourg public funds (including setting up new funds, maintaining existing funds and integrating regulatory changes etc).
Regulatory - mapping, advising on and implementing new regulatory developments affecting the range of funds.
Distribution – taking primary responsibility for drafting and negotiating distribution agreements for the range of funds.
ISDA and market agreements - supporting the work of the team in relation to the drafting and negotiation of ISDA and related agreements.

You will report to the General Counsel and work closely with colleagues based in legal teams across numerous European offices. The role will involve putting in place distribution and related agreements with third party distributors and platform providers. This will involve the technical review, drafting and negotiation of contracts and providing support to the sales and marketing teams across their European network. You will negotiate commercial terms with local agents for group funds and support the RFP team in the production and execution of RFPs. You will also be involved with I Shares and Class S remuneration agreements, fund registrations and OTC and trading work on the legal side. 

Candidates likely to be England & Wales, French, Swiss or possibly German qualified lawyers and bi-lingual English/French speakers. You will likely have at least 1 years pqe up to senior associate level relevant experience.
