Company Secretary Role - Agile Working - Newport/Cardiff

Our client is seeking a chartered secretary or legal professional to join their Governance Team as a Deputy Company Secretary, based out of Newport or Cardiff. Your New Role
Your new role as a Deputy Company Secretary will require you to act as Secretary to the Audit Committee, Nominations Committee, Remuneration Committee and Asset-Liability Committee (ALCO). You will also be expected to take responsibility for the complete end-to-end process of these meetings. Additionally, you will need to advise and guide both committees and stakeholders in order to ensure they operate in accordance with legal, regulatory and governance requirements. In this role, you will be expected to maintain and update the Governance Framework, together with developing and implementing governance best practice and procedures through all our client's governance forums.
You will be responsible for leading on our client's compliance with the Senior Manager and Certification Regime requirements and responsibility map, together with leading the governance aspects of the AGM and Annual Report and Accounts. In this, you will interpret reporting requirements, engage with stakeholders, and draft key documents. You will also be responsible for the Board Portal, ensuring its effectiveness and successful distribution of information within the Board and its committees, as well as between senior management and non-executive directors.
What You'll Need to Succeed
To succeed in this role, you will be an enthusiastic and experienced CGI Qualified chartered governance professional, or a legally qualified governance professional, with at least 5 years company secretarial experience. This experience will have been obtained in a regulated environment. You will need sound knowledge and experience of corporate law, the UK Corporate Governance Code, best practice, and other relevant statutory and regulatory requirements. You will need to evidence proven communication skills to appropriately and effectively interact with the Board and other governance forums, as well as to inspire confidence from senior stakeholders and manage stakeholder expectations. You will have a strong ability to manage sensitive and complex information, and exemplify excellent organisational skills to agree agendas and schedule items for consideration. This will be done in accordance with our client's strategic priorities and their annual work programme.
You will have significant experience of attending Board level meetings, as well as drafting high-quality and detailed minutes, and be able to astutely listen, synthesise and record complex and technical discussions. To truly succeed, you will need experience of working in a busy workplace, with the ability to effectively prioritise and manage conflicting priorities. Excellent research, drafting, analytical, and influencing skills are key for this position, together with a determine attitude and approach to work, high level of attention to detail and accuracy, and the ability to work independently with little supervision.
