Deputy Company Secretary

London

Role:

  • Work within the legal function which is focussed, commercial and fit for purpose for the needs of Tideway and its group companies
  • Undertake all duties as Company Secretary for Tideway and its group companies :
  • Working with the business planning and finance teams be responsible for the production of large parts of the Annual Report and Accounts
  • Keep up to date with all new and upcoming governance regulations and ensure governance and compliance across Tideway and its group companies; advising the company of the same;
  • With administrative support, provide an effective Company secretarial service to the Directors and Shareholders:
      • keeping them fully informed of their responsibilities
      • advising Directors through the Chair, Chief Executive and directly
      • managing the board calendar
      • calling meetings in line with all requirements
      • preparing agendas and board packs, drafting resolutions, writing up minutes following up action
      • maintaining and managing centrally all information, registers and documentation required for the Company Secretarial function
      • providing training for board members and an induction for new board members
      • lodging forms and annual reports with Companies House
      • providing information for KYC and other reporting requirements
      • acting as signatory for required legal documents
      • maintaining an up to date and informed service)

Profile

Deputy Company Secretary

London

Essential:

  • CGI Qualified or experience in a Company Secretarial position
  • Excellent knowledge of the UK Corporate Governance Code and FCA regulations
  • Project management skills to manage multiple projects, with the focus and drive to see projects through from start to completion
  • High level of integrity and professionalism; Credibility and influence internally and externally, able to operate successfully at senior levels
  • Advanced negotiation skills, able to work effectively to objectives with the personal sensitivity to manage negotiations with a range of stakeholders, including Shareholders, non-executive and Executive Management and staff.
