Deputy Company Secretary / Head of Governance / 6-month interim FTC £55,000 - 70,000 per annum

Your new role
You will be the Deputy Company Secretary of the company for an initial 6-month basis. Also, there is a possibility of becoming a permanent employee depending on needs. Supporting the CoSec team in the effective running and providing support to the Executive Board of the charity. Some of your duties will include:
- Ensuring statutory compliance of the Group subsidiaries and liaison with the regulators in jurisdictions in which the Charity and its subsidiaries are registered
- Supporting and advising the General Counsel and Company Secretary, Trustees, relevant EB Directors and staff, within the Charity's Governance and Regulatory framework
- Responsible for organising relevant Committee and subsidiary Board meetings, including a 12-month meeting schedule
- Work closely with the GC/CoSec to drive improvements n the effectiveness and efficiency of the governance of the organisation
- Draft relevant papers for the Council and Committee meetings including papers for preparation for approval of the Annual Report and Accounts
- Ensure compliance with the Companies and Charities Acts and legislation in other jurisdictions in relation to the Charity and its subsidiaries
- To manage the Company Secretariat budget, regularly review/monitor the department's management accounts and raise and deal with any issues
- Accountable for line managing, leading and developing an inclusive and high functioning team
- To lead on various departmental projects e. policies project, process for review, designing a new template
What you'll need to succeed
In order to be a successful Deputy CoSec for this charity you will need to have great business and management expertise, ensuring compliance in legal and regulatory requirements. The ability to remain independent and to provide expert advice at the highest levels with accountability.
- Decision making: Provide expert advice and informs decision making, guided by regulatory and legal requirements.
- Influence: Influences those at the highest level (including Trustees and EB Directors), requiring diplomacy and judgement based on sound understanding of the issues and the impact of decisions.
- Leadership: Experience of leading, managing and motivating a team
- Relationships: Builds effective relationships at all levels of the organisation to further the compliance agenda and to increase the CoSec's ability to anticipate, mitigate or resolve issues
- Financial Management: Day-to-day management of the Company Secretariat budget and management accounts as well as quarterly and annual forecasting
- Qualified Company Secretary in either experience or qualification e. CGI (ICSA) Chartered Member
- High attention to detail, numeracy skills, strong organisational skills and juggling competing priorities
