My client is a unique and international financial institution looking to hire a Fund Finance lawyer on a permanent basis. 

The main purpose of this role is the provision of legal services to the Fund Finance Desk. The secondary responsibility is the provision of legal services to the other Corporate and Institutional Lending Desks, as required.

Overall responsibility is to ensure that the legal risk of the Fund Finance Desk (and other parts of the Bank) are being appropriately managed, mitigated and reported. In particular, but without limitation the successful candidate will perform the following key functions:

  • Ensure that legal documentation entered into by the business is appropriate
  • Manage the provision of external legal support to ensure that external advisers are duly and appropriately appointed, that advisors understand the business's risk appetite and that the business can place appropriate reliance on them
  • Negotiation and finalisation (in conjunction with external advisers and the relevant deal team) of all transaction documents in respect of transactions entered into by the business, including but not limited to, loans including facility agreements, security documents
  • Ensure that transactions comply with the relevant credit or investment committee sanctions and are otherwise in accordance with the businesses policies from time to time
  • Follow relevant internal processes and procedures
  • Actively manage the negotiation and execution of deals from the perspective of legal documentation and the management of various stakeholders on the Desk and within the business general as well as with clients
  • Assist in the development and maintenance of legal relationships in relevant jurisdictions to ensure appropriate management and mitigation of legal risk and in furtherance of business development
  • Assist in the structuring of transactions and the documenting of credit and investment proposals including reviewing fund documentation as part of a preliminary deal assessment process
  • Assist in the development of policies and procedures relevant to the Fund Finance Desk (and the other parts of the business which this role supports)
  • Build and establish a strong role on the Fund Finance Desk and provide both formal and informal training on relevant legal aspects across different jurisdictions and business focuses
  • Assess, monitor and manage the legal risk being run by the Fund Finance Desk (as well as those other parts of the business this role supports) and report legal risk in accordance with the businesses risk reporting requirements from time to time
  • Assist in the structuring of new transactions and strategies being undertaken by the Fund Finance Desk and the wider global fund finance business (including SA, Mauritius, New York and Australia)
  • Assist and participate in the Fund strategy group
  • Help to develop and maintain appropriate best practice guidelines for the Fund Finance Desk from a legal risk and transaction management perspective
  • Help to maintain and develop world class legal risk management procedures across the Fund Finance Desk and the global fund finance business

A strong candidate should have at least 5 relevant post qualification years' experience from a top city law firm or reputable financial institution.
