Our Client, the UK division of a Global Asset Manager, is looking for a Senior Legal Advisor to  ensure effective management of all legal matters and provide strategic legal advice across the business, including its retail & institutional business and some overseas segments. Reporting to the very experienced Head of Compliance, Legal & Risk, duties will include;

 

  • Provide legal guidance and support to the organisation on a variety of matters, including investment transactions (M&A), strategic projects, corporate governance and Legal regulatory compliance.
  • Advise on the structuring and formation of investment vehicles, including funds and SPV’s.
  • Review, negotiate, and draft a wide range of commercial agreements, including client agreements, data related contracts, supplier contracts, non-disclosure agreements, employment contracts and enterprise/corporate partnership agreements.
  • Identify legal risks associated with the business operations, product, and services and develop and implement strategies to mitigate these risks. Includes contracts, intellectual property, data privacy, cybersecurity, and third-party management.
  • Oversee and or support third-party management, including selection, due diligence, contract negotiation, and ongoing performance evaluation.
  • Conduct legal research and analysis on complex legal issues affecting the company's business practices or operations. Provide clear and practical advice to stakeholders, keeping them informed about legal developments and their potential impact on the business.
  • Review and advise on legal and regulatory filings, including offering memorandums, prospectuses, and regulatory filings.
  • Liaise with external legal counsel on complex legal matters.
  • Develop and manage relationships with external law firms and ensure that any external legal resource is appropriate for the advice sought and cost effective.

    You must be a UK qualified Solicitor with at least 5 years’ experience gained in Funds or Asset Management. While a basic  understanding of UK regulation as applicable in an Investment Manager is required especially when reviewing Mandates etc, as important will be your broader legal experience and ability to interact with senior management and influence external stakeholders on legal matters that impact the UK business. Any experience of M & A also useful as the Group is expanding. 

    This is an excellent opportunity to take your first quasi-Head of Legal Function role, with sole responsibility for Legal in the UK entity. This is a highly visible role operating at C-Suite level with a Global reach and influence.
